Terms + Conditions

1. Scope of Access

Subject to payment of applicable fees and compliance with these Terms, the Company grants the user a limited, non-exclusive, non-transferable, revocable license to access and use the Product solely for the user’s internal business purposes. 

This license does not confer any ownership rights in the Product, the underlying data, models, systems, or content. 

2. Nature of the Content 

The Product includes content derived from: 

  • Proprietary data sources owned or licensed by the Company, and 
  • Artificial intelligence–generated research, analysis, and insights, which may be based on a combination of proprietary information, third-party sources, and algorithmic processing. 

 

The user acknowledges that: 

  • AI-generated outputs are probabilistic in nature 
  • Results may contain errors, omissions, inaccuracies, or incomplete information 
  • Outputs are not guaranteed to be current, complete, or correct

3. No Reliance Disclaimer

The Product and all content provided through it are for informational and research purposes only. 

They do not constitute legal, financial, regulatory, compliance, or professional advice. 

Users are solely responsible for: 

  • Independently validating any information 
  • Making decisions based on their own judgment and verification processes 
  • Assessing the suitability of the information for their specific use case 

4. Proprietary Rights

All rights, title, and interest in and to: 

  • the Product 
  • proprietary data 
  • AI models and systems 
  • algorithms 
  • methodologies 
  • research frameworks 
  • content structure and presentation 

 

are and shall remain the exclusive property of the Company and its licensors. 

No rights are granted except as expressly stated in these Terms. 

5. Restrictions on Use 

Users may not, directly or indirectly: 

  • Copy, reproduce, scrape, harvest, or extract data from the Product 
  • Resell, sublicense, distribute, publish, or make the Product available to third parties 
  • Use the Product to build or train competing products, models, or services 
  • Reverse engineer, decompile, or attempt to derive source code, models, or system architecture 
  • Use the Product for unlawful, deceptive, or harmful purposes 
  • Remove proprietary notices or attribution 

6. AI-Specific Use Limitations

Users may not: 

  • Represent AI-generated outputs as verified facts 
  • Attribute AI-generated content as human-authored research by the Company 
  • Use outputs in automated decision-making systems without human review 
  • Use outputs in regulated decision contexts without independent verification and compliance review 

7. Data Use & Improvement

The Company may use aggregated and de-identified usage data to: 

  • improve the Product 
  • enhance models and system performance 
  • develop new features and offerings 

 

No customer confidential information will be used in a manner that identifies the user or their organization. 

8. No Warranties

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE.” 

THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: 

  • ACCURACY 
  • COMPLETENESS 
  • RELIABILITY 
  • FITNESS FOR A PARTICULAR PURPOSE 
  • NON-INFRINGEMENT 
  • AVAILABILITY 
  • ERROR-FREE OPERATION 

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO USE OF THE PRODUCT, INCLUDING AI-GENERATED CONTENT. 

10. Suspension and Termination

The Company reserves the right to suspend or terminate access to the Product if: 

  • these Terms are violated 
  • misuse is detected 
  • security or compliance risks arise 
  • payment obligations are not met 

11. Updates and Modifications

The Company may modify these Terms and the Product functionality at any time. Continued use constitutes acceptance of updated terms. 

12. General Provisions

  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. 

 

  • Assignment. Users may not assign or transfer the use of this product or these Terms without prior written consent. The Company may assign these Terms in connection with a merger, sale of assets, or corporate reorganization. 

 

  • Governing Law and Venue. These Terms shall be governed by the laws of the State of Colorado, without regard to conflict of laws principles. Exclusive venue shall lie in the state or federal courts located in Denver, Colorado. 

 

  • Force Majeure. Company shall not be liable for failure or delay in performance caused by events beyond its reasonable control.
